These Terms of Service ("Terms") govern your use of Tovu's website and services, operated by BrandAid, Inc. ("Tovu," "we," "us," or "our"). By accessing tovuai.com or engaging our services, you agree to these Terms.

1. Services

Tovu provides AI-powered phone attendant services for independent insurance agencies, including setup, configuration, and ongoing operation of AI voice agents ("Services"). Service details, pricing, and scope are confirmed in writing prior to commencement of work.

2. Pricing and Payment

• Setup fee: A one-time fee of $1,500 is due prior to build commencement.
• Monthly subscription: $500/month, billed monthly, beginning upon go-live.
• All fees are in USD. Invoices are due within 7 days of issuance.
• Late payments may result in suspension of service.

3. Cancellation

You may cancel your monthly subscription at any time with 30 days written notice to info@tovuai.com. The setup fee is non-refundable once build work has commenced. Monthly fees are non-refundable for the current billing period.

4. Client Responsibilities

You agree to:

• Provide accurate information about your agency, hours, and call-handling requirements
• Maintain an active phone number or VoIP line to which the Tovu agent can be connected
• Comply with all applicable laws governing AI use in your state and industry
• Notify callers, where required by law, that calls may be handled by an AI system

5. AI Disclosure

Tovu provides AI-powered voice agents. You are responsible for ensuring compliance with any applicable disclosure requirements in your jurisdiction regarding the use of automated or AI voice systems in customer-facing communications.

6. Limitation of Liability

To the maximum extent permitted by law, Tovu and BrandAid, Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from use of our services, including but not limited to lost revenue, missed calls, or business interruption. Our total liability for any claim shall not exceed the fees paid in the 30 days preceding the claim.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. Downtime due to third-party infrastructure (including Vapi, telephony providers, or internet outages) is outside our control and does not constitute a breach of these Terms.

8. Intellectual Property

All website content, brand assets, and proprietary systems developed by Tovu / BrandAid, Inc. remain our intellectual property. Custom configurations built for your agency remain yours upon full payment.

9. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Polk County, Florida.

10. Changes to Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance. Material changes will be communicated via email.

11. SMS/Text Messaging Consent

By verbally providing your consent during a phone call with Tovu or our AI voice agent, or by providing your mobile phone number to us, you expressly agree to receive SMS/text messages from Tovu / BrandAid, Inc. These messages may include appointment confirmations, reminders, follow-up communications, and service-related notifications. Message frequency varies based on your interactions with us. Message and data rates may apply. You can opt out of receiving text messages at any time by replying STOP to any message, and you can reply HELP for assistance. Your consent to receive SMS messages is not a condition of purchasing any goods or services. We do not sell or share your mobile opt-in information or phone number with third parties or affiliates for their marketing purposes.
